It may also give you the option to upgrade without formatting. Whatever you do, do not do this. It works, just not well. It makes your system run slow and uneffieciently because the previous OS's files are still on the hard disk. I have done both (upgrade and format) on the same system. Formatting is the best option.

It is not necessary to be running, but it is perfectly safe. It protects you from unknown Browser Helper Objects (BHOs). I told him to install it when we were clearing his system of spyware.
